Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Punkerbit LLC ("Punkerbit," "we," "us," or "our") governing your access to and use of Keel Home Finance, our websites at khfonline.com and helm.khfonline.com, and related applications and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and a resident of the United States to use the Service. By using the Service you represent that you meet these requirements and that the information you provide is accurate and complete.

2. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@punkerbit.com if you suspect unauthorized access. Authentication is provided through Amazon Cognito; you are responsible for keeping your email and password secure.

A "household" in the Service may include people you invite. You are responsible for the actions of anyone you grant access to your household data.

3. What the Service does

Keel Home Finance is a personal-finance management tool that helps you budget, track spending, view balances and net worth, plan sinking funds, and organize accounts. It aggregates information you enter manually and information from financial accounts you choose to connect through the third-party service Plaid.

4. Not financial, investment, tax, or legal advice

The Service is provided for informational and organizational purposes only. It does not provide financial, investment, tax, accounting, or legal advice, and nothing in the Service is a recommendation to buy, sell, or hold any security or to make any financial decision. Figures such as debt-to-income ratios, net worth, budgets, and projections are estimates that depend on the data available to us and may be incomplete or inaccurate. You are solely responsible for your financial decisions and should consult a qualified professional.

5. Connecting financial accounts (Plaid)

You may connect external financial accounts using Plaid Inc. ("Plaid"). When you do, you authorize us and Plaid to access and retrieve account information (such as balances and transactions) on a read-only basis. We do not initiate payments, transfers, or trades through connected accounts.

Your use of Plaid is subject to Plaid's end user privacy policy and terms. You can disconnect a linked account at any time from within the Service. We are not responsible for the accuracy, availability, or timeliness of data provided by Plaid or by your financial institutions.

6. Subscriptions, billing, and payments

Certain features require a paid subscription. Payments are processed by Stripe, Inc. ("Stripe"); we do not collect or store full payment card numbers. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis (monthly or annually, as selected) until you cancel.

Subscriptions renew automatically at the then-current price. We may change prices with prior notice; changes apply to the next billing cycle. You are responsible for all applicable taxes.

7. Cancellation and refunds

You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods.

8. Acceptable use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to access accounts or data that are not yours; (c) reverse engineer, scrape, or interfere with the Service or its security; (d) resell or provide the Service to third parties without our permission; or (e) upload malicious code or attempt to disrupt the Service.

9. Your data and content

You retain ownership of the information you enter or connect. You grant us a limited license to store, process, and display that information solely to provide and improve the Service for you. We isolate each household's data so it is not accessible to other households.

10. Intellectual property

The Service, including its software, design, and trademarks (including "Keel Home Finance" and "Punkerbit"), is owned by Punkerbit LLC and protected by law. These Terms do not grant you any right to our trademarks or to copy or create derivative works of the Service.

11. Third-party services

The Service relies on third parties including Plaid (account connections), Stripe (payments), and Amazon Web Services (hosting). Your use of features involving these providers may be subject to their terms. We are not responsible for third-party services and disclaim liability for their acts or omissions.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA WILL BE ACCURATE OR COMPLETE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUNKERBIT LLC (WHICH OPERATES KEEL HOME FINANCE), ITS SUBSIDIARIES AND AFFILIATED COMPANIES, AND THEIR RESPECTIVE OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US $100.

14. Indemnification

You agree to indemnify and hold harmless Punkerbit LLC (which operates Keel Home Finance), its subsidiaries and affiliated companies, and their respective owners, officers, employees, and agents, from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service or violation of these Terms.

15. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.

16. Changes to the Service and these Terms

We may modify the Service or these Terms from time to time. If we make material changes, we will provide notice (for example, by email or within the Service). Your continued use after changes take effect constitutes acceptance.

17. Governing law, arbitration, and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and, with respect to arbitration, by the Federal Arbitration Act.

Informal resolution first. Before starting an arbitration or lawsuit, you and Punkerbit LLC agree to try to resolve any dispute informally by contacting support@punkerbit.com. If the dispute is not resolved within 30 days, either party may proceed as set out below.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding arbitration administered by JAMS in San Diego, California, rather than in court, before a single arbitrator, under the JAMS Streamlined Arbitration Rules (for claims under US $250,000) or the JAMS Comprehensive Arbitration Rules (otherwise) in effect at the time. Judgment on the award may be entered in any court having jurisdiction.

Class action waiver. You and Punkerbit LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in the state or federal courts located in San Diego County, California to protect its intellectual property or confidential information.

Your right to opt out. You may opt out of this arbitration agreement within 30 days after first accepting these Terms by emailing support@punkerbit.com with your name and a statement that you decline arbitration. Opting out will not affect any other part of these Terms.

18. Text messaging (SMS)

Text messaging is optional and off by default. By providing a mobile number, checking the consent box in the Service (Settings → Notifications), and verifying a one-time code, you agree to receive automated account text messages — account notifications you enable (such as due-date reminders and bank, credit card, and available-balance alerts) and verification codes. Consent is not a condition of using the Service or of any purchase.

Message frequency varies based on the alerts you enable. Message and data rates may apply. Reply STOP to cancel at any time and HELP for help. We do not share mobile numbers or SMS consent with third parties or affiliates for marketing. See our Privacy Policy for details on how messaging information is handled.
